SEC Maps the Main Structures Behind Tokenized Securities

The US Securities and Exchange Commission’s Division of Corporation Finance has outlined how tokenized securities can be structured, separating issuer-led models from arrangements created by third parties.

SECTION // POLICY

In issuer tokenization, the security itself may be issued or recorded using distributed-ledger technology. Third-party models can instead create a token representing an interest in, entitlement to or synthetic exposure to an underlying security.

The distinction is operationally important because tokens that appear similar on a screen may carry different legal rights. Ownership records, redemption mechanisms, intermediary claims and the identity of the responsible issuer can change the investor’s position.

Tokenization therefore does not replace securities analysis; it adds another layer to it. Market participants need to understand both the underlying instrument and the legal and technical structure connecting that instrument to its onchain representation.
